I've been offered 35% share ownership of a Norweigen startup business - it's a limited company (Norwegian AS(aksjeselskap) Stock company). The agreement would be between a UK Limited company and the Norwegian entity.
In exchange for these shares, I will be offering an initial 6 months of marketing campaign support (to then be reviewed every 6 months).
What we would like to include is: Percentage ownership Securing your place on the board (optional) Responsibilities (marketing consultancy) Resources committed into the company(marketing etc) - SEO, Social, PR campaign support + consultancy I think we can fix a review of marketing investment every 6 months Should it include agreement on income, future salary etc? Maybe this is for later? Yes, this will be important but later, let's fix it so that we have a quarterly review of this. It might be worth mentioning that a yearly dividend will be paid on profits? Should it include agreement on how we divide the stock if a future 3rd party wants to buy in? Yes, it would need to be an equal split around all parties There should be an anti-dilution clause
